Notice of an Extraordinary General Meeting: Tuesday 16th March, Charles Dickens Centre, Weller Way L8, 7.30pm
The Committee is recommending that Dingle Community Theatre becomes "a company limited by guarantee" under the Companies Act. This probably sounds complicated, and it does actually involve us in going through a few formal procedures - but as far as all our members are concerned, there will be no change whatsoever. The purpose of going through this is to put DCT on a more secure financial footing, and it is all explained in the attached document.
This refers to a new form of constitution, called "Memoranda and Articles of Association", which we have drafted with the help of people who know what they are doing. The Committee has been through this with a fine tooth comb and we can assure you that the differences between that and the old constitution are minor and are only there at all to conform with the law. Of course, copies will be available at the EGM and if you wish you can request one in advance which can be sent to you either by email or by post.
The EGM, which the Committee is calling with the necessary 21 days' notice, will consider only the following agenda items:
To approve Memoranda and Articles of Association for a new company to be known as "Dingle Community Theatre Ltd".
To authorise the Committee of the existing Dingle Community Theatre to register the new company at Companies House.
To prepare for the winding up at the next AGM of the existing Dingle Community Theatre and the transfer of assets to the new company.

Why?
• The Management Committee members (the “Trustees”) are responsible for all the debts of Dingle Community Theatre, and if anything went wrong with our finances,
the Trustees
would have to pay all these debts out of their own pockets.
Why would anyone want to be a Trustee
with that hanging over them?
• If we become a “Company Limited by Guarantee”,
our liability
- the amount we would have to pay if DCT ran into financial difficulties -
would be no more than £2 per member
– that is the “guarantee”, a limited liability.
• This stabilises the organisation and makes it secure.
“Dingle Community Theatre Ltd”
would have the same aims and rules as DCT
and would take on all its assets and liabilities.
How does this affect me as a member?
In short – not at all!
In theory you would be liable, as a member, to pay up to £2 to cover the debts of Dingle Community Theatre Ltd if it was ever wound up.
In practice, the first year of your subs (£2) will be used as a joining fee, and kept in a separate account, so you would never have to pay anything to cover the debts of the theatre company.
You have to be over 16 to be a member
- but if you are under 16, you can still participate in activities.
How do we become
a Company Limited by Guarantee?
The steps we have to take…
1. We have to draw up
“Memoranda and Articles of Association”
for the new “Dingle Community Theatre Ltd”
to replace the Constitution of DCT.
(This has already been done
with the help of experts at Liverpool CVS.)
2. At a meeting (to be held in March)
we have to decide whether to go ahead with this proposal
and get your agreement
to the new “Memoranda and Articles of Association”.
3. The Committee then have to register
“Dingle Community Theatre Ltd” at Companies House
before the AGM (in the Autumn)
- at a cost of £20.
4. At the AGM, with your agreement,
• we wind up “Dingle Community Theatre”,
and transfer all the money and assets
- and the debts and liabilities -
to “Dingle Community Theatre Ltd”.
• we elect the Trustees of the new limited company

Annual General Meeting of Dingle Community Theatre

don’t forget our AGM next Monday at the Casa (5th Oct, 7.30pm) This is a chance to look over the year’s work, and discuss what direction we’re going in. Membership is only £2 and gets you full voting rights.
During the Agm, Ronnie Edwards and Lesley Hendry will be giving a short illustrated presentation “Edinburgh fringe festival and how to get a play on”. Ronnie and Lesley took a play there last summer. We thought their experiences would be of interest to people who might fancy going there one day. Questions are possible at end. See you next Monday at the Casa

panto director/organiser - applications welcome
2 years ago we produced a very successful Community Panto in the Dingle, "Cinderella and her American Fella."
We want to do the same again in 2010 with a different panto, although keeping to the same style – a healthy respect for the traditional panto and plot but updating it with modern elements and giving it a local flavour. The panto would involve actors from our adult and youth groups, but would also give opportunities for local people to take part.
We’re looking for an imaginative, resourceful person to lead the project and direct the play.
The person would need to have a current CRB Clearance
They would be assisted by our youth group co-ordinator, our management and projects cttee.
We would be looking to start the project immediately upon appointing the person and are looking at dates in early February to hold the actual panto.
There will be a budget, but as is the way in Community Arts, it will be limited and thus key qualities in the successful applicant will be resourcefulness and imagination in running a show on a low budget. Experience in running Community Drama events is also a plus.
If you are interested, please apply outlining your ideas and what you consider your strengths. No more than two sides of a4 plus a CV.

We are very enthusiastic about making it even more of a success than our last very successful panto, "Cinderella and her American Fella". (see image)
There will be 4 performances at the beginning of 2010.

Dingle Community Theatre's 2009 forthcoming Agm
The agenda is as follows:
1. 5.8 At an AGM the members:
5.8.1 receive the accounts of the Association for the previous financial year
5.8.3 elect elected Committee members to replace those retiring from office
5.8.4 elect from among the members of the Association the Chair of the Association for the following year
5.8.5 appoint an auditor or independent examiner for the Association where required
5.8.6 may confer on any individual (with his or her consent) the honorary title of Patron, President or Vice President of the Association
5.8.7 discuss and determine any issues of policy or deal with any other business put before them

Drama at the Casa

We're back!
Dingle community theatre's regular open Drama workshop "night at the casa" will begin again at 8pm on monday 7th september.
The first night will be a discussion/chat night to discuss what types of workshops you would like there to be on the monday and what kind of style you'd like them to be.
All those who would like to work with us in the new season or simply attend the workshops as a leisure activity are welcome to come along.
We will also be encouraging people to become members (only £2 per annum). This amongst other things will enable you to attend ther forthcoming agm.

“Dramatic Connections in the Dingle” is underway……
With support from Liverpool City Council, Dingle Community Theatre’s Summer Community Drama festival, “Dramatic Connections in the Dingle” is underway……
"Thanks to the City of Liverpool for its financial support"
This year, Dingle Community Theatre’s Annual festival – now such a regular part of the Community Arts Diary –will focus on local responses to the City Council’s “Year of the Environment”.
“Dramatic Connections in the Dingle” will include:
3 new dramas by local authors on a “Slice of Life” theme. *************
- “Human Habitation” by Rob Johnston: "Michael has come to a new town looking for a new life. Frank's there to help. But where does John Lennon fit in?"
-“A Job Well Done” by Michelle Greer. It's a war out there and everyone is feeling the pinch. A Job Well Done is one man's story of what can happen when we are pushed to the limits.
- “A Slice of Cake” by Pauline Kennedy. Through the cakes she bakes Jen tells us the story of her life’s highs and lows..
A junior school drama from St Finbar’s Catholic School about a disappearing friend, entitled “To bee or not to bee”

· A Perform L8 Youth Drama Group play, written by Alan Bower, called “Friendship Close” looking at neighbours and neighbourliness.
